About Our Speaker:
Gary M. Brown, a Baker Donelson partner in the firm's Nashville office served in 2002 as Special Counsel to the U.S. Senate’s Committee on Governmental Affairs (and its Permanent Subcommittee on Investigations ("PSI") for the Enron investigation. Most recently, he was retained by PSI to assist in PSI's investigation into Wall Street securities practices that led to the 2008 financial crisis and in legislative items proposed by PSI for inclusion in what became the Dodd-Frank Wall Street Reform and Consumer Protection Act.
Gary has been at the forefront of unraveling the causes and triggers of the Enron debacle, which typified the 2002 market failure and the more recent failure of our financial institutions and shaping reform legislation and practices which emerged as the Sarbanes-Oxley Act and the Dodd-Frank Financial Reform Bill.
Gary comes to our Atlanta chapter to discuss the practical implications of Dodd-Frank that every public as well as private company director now needs to understand and those new policies and practices their companies must adopt.
Specifically, Gary will address: • Implications of SEC’s clear authority to mandate proxy access • The interface of the NYSE's elimination of discretionary broker voting in certain matters • Dealing with the growing power of shareholder advisory groups (ISS/RiskMetrics, Corporate Library, etc.) • Increasing importance of appropriate two-way communications with major investors • How directors can become targets for plaintiff attorneys and how to implement appropriate safeguards.
