As institutional investors become more demanding and “activist investing” gains traction, corporate issuers need to proactively monitor their shareholder base for activist investors. About Our Speakers:

Samuel D. Chafetz, Shareholder, Baker Donelson, Memphis, TN - 

Sam Chafetz, shareholder in the Memphis office, concentrates his practice in the areas of corporate, securities, mergers and acquisitions, and venture capital.  He represents public and private enterprises and is the trusted advisor to directors and chief executives of companies listed on the New York Stock Exchange, American Stock Exchange, NASDAQ and Pink Sheets.  Mr. Chafetz has extensive experience in SEC and stock exchange regulatory compliance, capital formation from both public and private sources, management prerogatives, shareholder rights and corporate governance, and accounting, public disclosure and investor relations issues.  Mr. Chafetz has counseled clients in diverse industries in tender offers and going private transactions. He has particular interests in and experience with retailing, restaurants, health care, aviation, securities, broker-dealer matters, agribusiness, franchising and emerging technologies.

Mr. Chafetz practiced at Wachtell Lipton Rosen & Katz in New York City before returning to his native Memphis.

 

Waheed Hassan, CFA - Managing Partner, Alliance Advisors

Waheed is a Managing Partner at Alliance Advisors, where he advices issuers on M&A transactions and Proxy Contests. He has over ten years of institutional equity research, corporate governance, M&A, and proxy advisory experience.  He has interacted with C-level management and board of directors, having led over 200 in-person meetings with senior management of public companies, including many S&P500 firms. Prior to joining Alliance, Waheed managed the M&A/Proxy Contest research team at Institutional Shareholder Services ("ISS") - a division of MSCI Inc. At ISS, he provided advisory vote recommendations on 100+ contested M&A transactions and proxy contests with the combined market value of targeted companies in excess of $75 billion. Waheed was involved in several high profile proxy fights (Target, Barnes & Noble, NRG Energy, Office Depot), and mergers (IPC Holdings/Validus, Xerox/ACS, First Energy/Allegheny Energy). Previously, Waheed worked as a Senior Research analyst with Indosuez W.I. Carr Securities, UBS Warburg, and Khadim Ali Shah Bukhari. He was included among the #1 rated financial sector research analysts in The Reuters Survey of Global Emerging Markets 1998 and was a member of the #1 rated research team according to both The Reuters Survey of Global Emerging Markets 1999 and Euromoney Awards for Excellence 2000. Waheed is a CFA charter holder and received an MBA with Beta Gamma Sigma honors from Vanderbilt University.
